These Terms ("Terms") govern your use of AdeptAds websites and services (the "Services"). By accessing or using the Services, you agree to them.

1. Accounts and access

• You must be legally able to enter a contract. If you act for an organization, you have authority to bind it.
• Keep your credentials secure; you are responsible for activity under your account.

2. Platform connections

• Connecting platforms (e.g., Google Ads) authorizes us to read and manage campaigns strictly to deliver requested features (creation, management, optimization).
• You may revoke access anytime in the platform’s permissions; some features stop working after revocation.
• You remain responsible for complying with platform terms and policies (including Google Ads Terms, personalized ads rules, and EU User Consent Policy).

3. Acceptable use

• No illegal activity, security circumvention, reverse engineering, or unauthorized access.
• No prohibited sensitive categories or deceptive/infringing ad content.
• No using the platform to create misleading AI-generated content or misrepresent AI-created assets as human-made.
• No service disruption, abuse, or spam.

4. Customer data

• "Customer Data" is data you submit or connect, including advertising data.
• You grant AdeptAds a limited license to process Customer Data to provide and improve the Services, consistent with these Terms and the Privacy Policy.
• You retain ownership of Customer Data and ad assets; we do not reuse them beyond delivering the Services.
• AI model providers may process data to deliver AI capabilities, but AdeptAds does not use your data to train models or share it with other customers.
• Export/deletion: on request or termination, we offer reasonable export and delete data per the Privacy Policy and legal obligations.

5. Privacy

Our processing of personal data is described in the Privacy Policy.

6. Fees and taxes

• Paid features, if any, are billed as presented at checkout. Our payment processors may charge applicable taxes.
• Platform media spend (e.g., Google Ads) is billed by the platform and separate from AdeptAds fees.

7. Intellectual property

• The Services, including software, models, designs, and documentation, are owned by AdeptAds or its licensors and are protected by IP laws.
• We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription in accordance with these Terms.
• You own all AI-generated content created for your campaigns (ad copy, creatives, etc.), subject to platform policies and third-party rights.

8. Beta features

Beta/preview features are provided "as is" and may change or end at any time. Performance variance may occur during AI model updates or when testing new capabilities.

9. Service Levels and Disclaimers

We commit to maintaining 99.6% platform uptime and secure handling of your data with enterprise-grade protection. Our AI agents operate with high accuracy and maintain comprehensive audit trails for all actions.

However, advertising performance depends on multiple factors beyond our control, including:

• Your advertising budget and bidding strategies
• Market competition and seasonal variations
• Platform policies and algorithm changes
• Quality and relevance of your products/services
• Compliance with advertising guidelines

While our AI agents are trained to optimize performance and many clients see significant improvements, we cannot guarantee specific ROAS, conversion rates, or other advertising outcomes. Past performance metrics are illustrative and not predictive of future results.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADEPTADS AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

Our liability varies by the type of claim:

• Data breaches or security failures: Up to the greater of (a) fees paid in the past 12 months or (b) $5,000
• Platform downtime exceeding SLA: Service credits as specified in your subscription agreement
• Other claims: Limited to fees paid in the 12 months before the event

Important clarifications:

• We are not liable for your advertising spend with platforms (e.g., Google Ads), which is billed directly by those platforms
• We are not liable for account suspensions or policy violations on advertising platforms
• Enterprise agreements may include negotiated liability terms

11. Indemnification

You will defend and indemnify AdeptAds from claims arising out of your Customer Data, your use of the Services, or your violation of these Terms or applicable laws/policies.

12. Suspension and termination

• You may stop using the Services at any time. We may suspend or terminate for violations, risk of harm, non‑payment, or legal/policy reasons.
• Upon termination, access ends. We may retain or delete data per the Privacy Policy and legal requirements; reasonable export will be available for a limited time where feasible.

13. Changes to the Services and Terms

We may update the Services and these Terms. We will post updates and update the “Last updated” date. Continued use means acceptance.

14. Governing law

These Terms apply under the laws of the jurisdiction where AdeptAds operates, without regard to conflict rules. Courts with competent jurisdiction in that venue will have exclusive jurisdiction.
